In these terms and conditions,
references to the "Programme" are to the WHK Better Business
Programme and references to "you" or "subscriber" means the
registered subscriber.

Programme subscription will commence
upon receipt by WHK of the first fee payment.

Subscription to the Programme is made
on a rolling annual basis, your subscription to the Programme will
automatically renew each year following the subscription
commencement date.

You are able to cancel your
subscription to the Programme at the end of the first year or any
time after that by providing us with written notification. In
the case of a corporate subscriber, this notification should be
from a Director of the registered company.

Where a cancellation is received
after the annual subscription has been renewed and the annual
subscription fee has been paid in advance, the subscription fee
will be refunded on a pro-rated basis, accounting for the part of
the year that the subscription was current.

WHK reserves the right to cancel the
Programme at any time by providing subscribers with one month's
written notification.

In the event of Programme
cancellation, WHK will immediately cancel receipt of subscriber
direct debit payments and refund pro-rated Programme fees for the
remainder of the annual subscription period to subscribers who have
paid annual programme fees in full.

WHK reserves the right to decline a
subscription to the Programme. In this event, notice will be
given in writing.

All information supplied by
subscribers to WHK will be held in confidence in accordance with
the Privacy Act 1993. This information will only be used in
relation to the services provided WHK and you may contact WHK to
verify the information that it holds, or to correct it.

WHK owns various intellectual
property rights in the information and materials provided by WHK to
the subscriber as part of the Programme ("WHK Materials").
The WHK Materials are provided for use solely by the subscriber in
the business noted in the registration. The subscriber
undertakes not to use or disclose the WHK Materials or any part of
them to any third party.

. WHK is not liable for any loss that
may arise out of the use of, or reliance on, WHK Materials or other
information provided as part of the Programme. Accordingly,
neither WHK nor their employees or contractors is liable to you or
any other person including your business entity for any loss, cost,
damage, expense or liability (whether arising in contract, tort
(including negligence) or otherwise) that may arise out of the use
of or reliance on the WHK Materials, that information or
advice.

. As part of the Programme, workshop
dates, times and facilitators are occasionally subject to change.
WHK will make every effort to inform you of any such changes prior
to commencement of a workshop.

. WHK reserves the right to cancel
workshops offered as part of the Programme. Subscribers will be
notified by phone of any cancellations within 2 working days the
workshop date.

. When enrolled on a workshop,
subscribers must notify WHK by phone or email within 5 working days
of the workshop if they are unable to attend. If a subscriber fails
to provide sufficient notice more than three times during the
annual subscription period, they will be charged a penalty fee of
$150.

. Non-subscribers must notify WHK in
writing at least 5 working days prior to the workshop if they wish
to cancel their enrolment. In this case a full refund of the
workshop fee will be given or the fee may be transferred to another
workshop. If notice of cancellation is not given at least 5 working
days prior to the workshop, no refund will be offered however the
fee may be transferred to another workshop. Subsequent cancellation
will result in the fee being forfeited.

WHK will confirm subscriber
workshop enrolments in writing within 2 working days of receipt of
the enrolment request subject to places being available and subject
to the receipt of the requisite annual programme fees. If there are
no available places on the requested workshop, the subscriber will
be notified in writing within 2 working days of receipt of the
enrolment request and will have the option of being added to a
waitlist.

. Non-subscribers may enrol on WHK
Better Business Programme workshops subject to availability of
places. Subscribers will be given enrolment preference.
Non-subscribers must pay the workshop fee up-front and in full by
credit card before their enrolment is confirmed. WHK will confirm
enrolments in writing within 2 working days of receipt of workshop
payment.

. Registered subscribers enrolled on
a workshop may not send a non-subscriber to attend a workshop in
their place. If an enrolled subscriber would like to transfer their
enrolment to another subscriber, they may do so only by contacting
and receiving authorisation from WHK.

. Enrolled non-subscribers may
transfer their enrolment to another non-subscriber by contacting
and receiving authorisation from WHK.

. WHK fosters a productive and
constructive learning environment. WHK reserves the right to
refuse entry or remove disruptive participants from any workshops,
events or seminars. WHK further reserves the right to cancel
Programme subscriptions for inappropriate or disruptive conduct.
Subscribers will be notified in writing in the event their
subscription is cancelled.
